Creator Agreement

This Creator Agreement ("Agreement") constitutes a legally binding agreement between PRV.CAM ("PRV.CAM", "we", "our" or "us") and the individual creator ("Creator", "you" or "your") who applies for, accesses or uses any creator-related service, support system, technology, administrative tool, onboarding process, reporting system, promotional service or other functionality made available by PRV.CAM.

By submitting an application, creating an account, participating in onboarding activities, receiving support or otherwise using PRV.CAM services, you acknowledge that you have read, understood and agreed to be bound by this Agreement.

Independent Contractor Relationship

The Creator is and shall remain an independent contractor at all times.

Nothing contained within this Agreement shall be interpreted as creating an employment relationship, partnership, joint venture, agency relationship, franchise relationship, fiduciary relationship or any other relationship beyond that of an independent business contractor utilizing services provided by PRV.CAM.

The Creator is solely responsible for determining how, when, where and whether to perform any activity related to their content creation, audience engagement, business operations or use of third-party platforms.

PRV.CAM does not supervise, direct or control the Creator's day-to-day activities and does not require minimum working hours, mandatory schedules, mandatory locations or mandatory performance targets.

Eligibility and Legal Capacity

The Creator represents and warrants that they have reached the age of majority in their jurisdiction and are legally permitted to engage in all activities related to their content, services and participation in creator-related programs.

The Creator further represents and warrants that all information submitted to PRV.CAM is accurate, complete and truthful.

Providing false, misleading, incomplete or fraudulent information constitutes a material breach of this Agreement and may result in immediate termination.

Identity and Age Verification

The Creator agrees to provide any documentation reasonably requested by PRV.CAM for identity verification, age verification, compliance review, fraud prevention, security review or operational purposes.

PRV.CAM reserves the unrestricted right to request additional documentation at any time.

Failure to cooperate with verification procedures may result in suspension, restriction or termination without liability.

Creator Responsibilities

The Creator is solely responsible for all content, communications, activities, representations, statements, interactions and conduct associated with their accounts, profiles, services and online presence.

The Creator assumes full responsibility for compliance with all laws, regulations, licensing requirements, tax obligations, reporting requirements, immigration requirements, labor regulations and other legal obligations applicable within their jurisdiction.

PRV.CAM does not provide legal, accounting, tax, immigration or regulatory advice.

Third-Party Platforms

The Creator acknowledges that PRV.CAM may provide support, administrative assistance, technical integration, marketing services, onboarding assistance and account-related services involving third-party platforms.

The Creator understands that PRV.CAM does not own, operate or control such third-party platforms and cannot guarantee approval, availability, account status, earnings, traffic, visibility, functionality or continued access.

The Creator remains solely responsible for compliance with the policies, terms and requirements imposed by any third-party platform.

Content Responsibility

The Creator retains sole responsibility for all content created, published, distributed, transmitted or otherwise made available through any platform, service or communication channel.

The Creator represents and warrants that all content is lawful, consensual, authentic and created by adults legally permitted to participate.

The Creator further represents and warrants that they possess all necessary rights, permissions, licenses and authorizations required for the creation, publication and use of such content.

PRV.CAM assumes no responsibility for reviewing, monitoring, validating, approving or guaranteeing the legality of Creator content.

Compensation and Earnings

Any compensation, revenue sharing, commissions, fees, bonuses or other financial arrangements shall be governed by separate written policies, schedules, agreements or operational procedures established by PRV.CAM from time to time.

PRV.CAM reserves the right to modify payment structures, commission structures, eligibility requirements, operational procedures and related business terms at its sole discretion.

No earnings, income levels, financial outcomes or commercial results are guaranteed.

Taxes and Regulatory Obligations

The Creator is solely responsible for all taxes, duties, levies, social contributions, reporting obligations, business registrations and regulatory obligations arising from their activities.

PRV.CAM shall not be responsible for withholding, calculating, reporting or paying taxes on behalf of the Creator unless expressly required by applicable law.

Confidential Information

The Creator agrees to maintain strict confidentiality regarding all non-public information relating to PRV.CAM, including business processes, systems, software, pricing models, traffic strategies, reporting systems, administrative procedures, marketing methods, technical infrastructure and other confidential information.

This obligation survives termination of this Agreement indefinitely.

Intellectual Property

PRV.CAM retains exclusive ownership of all software, systems, databases, trademarks, branding elements, documentation, interfaces, workflows, business methods and related intellectual property.

Nothing in this Agreement transfers ownership of any PRV.CAM intellectual property to the Creator.

No Guarantee of Services

PRV.CAM makes no representations, warranties or guarantees regarding account approval, platform acceptance, audience growth, traffic levels, creator success, revenue generation, service continuity or business outcomes.

All services are provided on an "as available" basis.

Limitation of Liability

To the fullest extent permitted by applicable law, PRV.CAM, its owners, directors, officers, contractors, affiliates and service providers shall not be liable for any loss of income, loss of profits, loss of business opportunities, reputational harm, account suspension, platform actions, regulatory actions, legal claims, technical failures, data loss or any indirect, consequential, incidental, special or punitive damages.

The Creator acknowledges that participation in creator-related activities involves inherent business, technical, legal and commercial risks that are assumed entirely by the Creator.

Indemnification

The Creator agrees to defend, indemnify and hold harmless PRV.CAM, its owners, directors, officers, employees, contractors, affiliates, successors and service providers from and against any claims, investigations, penalties, fines, liabilities, damages, losses, costs and expenses, including legal fees, arising from or related to the Creator's actions, omissions, content, legal violations, regulatory violations, tax obligations, contractual obligations or use of any services.

Suspension and Termination

PRV.CAM reserves the unrestricted right to suspend, restrict, remove or terminate any Creator account, application, profile, relationship or service access at any time, with or without notice, for any reason or no reason, to the maximum extent permitted by law.

The Creator acknowledges that access to PRV.CAM services is a privilege and not a guaranteed right.

Force Majeure

PRV.CAM shall not be liable for delays, interruptions, failures or inability to perform resulting from events beyond reasonable control, including acts of government, regulatory actions, legal restrictions, platform changes, cyber incidents, infrastructure failures, labor disputes, natural disasters, telecommunications failures or other force majeure events.

Entire Agreement

This Agreement constitutes the entire agreement between the parties concerning the subject matter herein and supersedes all prior communications, discussions, understandings or representations.

Modifications

PRV.CAM reserves the right to modify, update, replace or amend this Agreement at any time. Continued participation following publication of revised terms constitutes acceptance of the updated Agreement.

Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws governing the legal entity operating PRV.CAM. Any dispute shall be subject to the exclusive jurisdiction of the courts having authority over the registered operator of PRV.CAM, unless otherwise required by applicable law.
